Prince�s death was extremely odd when we consider all of the occult symbolism we can

find tied into his persona.

I wrote an article upon his passing in April 2016 entitled �Prince and the Illuminati

Blood Sacrifice Conspiracy� and given the recent findings from a released video I�ve

got even more concerns�

Prince�s Death and the Video Prince died on April 21st, 2016 and two years

later (almost exactly� April 19th, 2018) the police released video footage of his Paisley

Park estate.

These dates may be of concern because they are the lead up period to the �Illuminati�

sacrifice holiday of Beltaine (April 30th-May 1st).

Some would go as far as to claim in the two weeks prior to Beltane sacrifices are conducted

to Moloch as they were back in the days of the Canaanite cultures.

TMZ posted the video of Prince�s estate when they were studying the death scene and

I was floored when I saw what transpired�

All Seeing Eye The All Seeing Eye is the symbol of enlightenment

in the ways of occult thinking.

It represents the awakening of the pineal gland- an important element in the history

of the occult.

When we see it posted on the door we could begin to question what Prince was aware of:

Alchemical Union In my �Prince and the Illuminati Blood Sacrifice

Conspiracy� article I went into detail on Prince�s name/symbol and its alchemical

roots.

The symbol he chose was a combination of the male and female symbols- suggesting he was

into this recurring Illuminati theme of gender neutralization.

There could be more behind the LGBT movement than just equal rights if you consider the

beliefs of the secret history of the occult.

They believe that humans were originally androgynous beings and someday will return to this �perfected�

state.

Was Prince interested in pursuing the pan gender- perfected state?

Was this a symbol of the alchemical wedding and embracing opposites?

The symbolism we see in his estate suggests he MAY have been since we see the moon and

sun prominently place on the floor (with the skies visible on the walls- suggesting a celestial

connection).

Not to mention they are right next to his alchemical wedding symbol on the floor�

Goddess Sacrifice The last thing I noticed was the most shocking.

In my previous article I suggested that there was some higher purpose for his death in the

location it happened.

As I mentioned in my second post about this topic; L.A. Reid told us of some very interesting

ideas that Prince had regarding the symbolic meaning of the elevator as the Devil:

When we combine the idea that the elevator symbolized the Devil to Prince we can see

why his death in front of the elevator is so alarming.

Even more shocking is the fact that he was found dead on top of the symbol for the Star

of Ishtar!

In Conclusion Given the recent Beyonce-Coachella-Goddess

connections I�ve been providing it seems that the �Illuminati� have been focusing

on the goddess worship elements recently.

Prince being found on top of the eight pointed star is of great concern.

We�ve seen this star represented as the Star of Ishtar (or Star of Semiramis) to represent

the worship of goddess entities or even the Aleister Crowley �8 of Wands� to represent

the 8-pointed star of Chaos Magic.

It was even prominently featured in Eyes Wide Shut (a film I�ve compiled in my Kubrick�s

Code project):

What�s the purpose here?�

In terms of occultism they believe in an energetic exchange with the unseen.

This is how their ritual magick operates and sometimes we see so much symbolism we can�t

help but wonder what their higher purpose is�

Senate panel approves Mueller protection bill - Duration: 1:19.

The Senate Judiciary Committee approved a bill to protect special counsel Robert Mueller

on Thursday.

That bipartisan bill would define who is allowed to fire Mueller — or any future special

counsel.

And it would also require the termination be for "good cause."

Republican Sens. Chuck Grassley, Jeff Flake, Lindsey Graham and Thom Tillis voted for the

bill, along with every Democrat on the committee.

The lawmakers also approved an amendment Grassley crafted that would require Congress to be

notified when a special counsel is appointed or removed as well as provide a report when

an investigation concludes.

That's a revised version of the amendment Grassley was originally floating, which would've

required a special counsel report if the scope of the investigation ever changed.

It appears the committee was able to reach a compromise after some Democratic lawmakers

opposed that idea, worried it would allow Congress to undermine Mueller's probe.

The next step is for the bill to head to the full Senate.

But as Newsy previously reported, it's facing an uphill battle.

Senate Majority Leader Mitch McConnell already said it will never see the Senate floor, calling

the bill unnecessary.

And House Speaker Paul Ryan has similarly said there's no need to protect Mueller.

And even if the bill does pass both the House and Senate, it would still need President

Donald Trump's signature to become law — something McConnell has said is unlikely.

BREAKING: Tragic News About Fox News' Jesse Watters – Fans Left In Complete Disbelief.

Fox News host Jesse Watters is the network's most popular personality, slinging political

commentary in a way that's not just brutally honest, eloquent and intelligent, but exceptionally

entertaining as well.

He's the station's golden boy for obvious reasons of being young, attractive, and electric

and a favorite of President Donald Trump's.

Now fans are shocked by what they're learning today after tragic news about the host has

been revealed, that's also leaving many feeling furious over what has happened.

Watters was just at White House dinner on Thursday having been personally invited by

President the president.

Trump is reportedly a huge fan of his and former White House adviser Sebastian Gorka,

and wanted the two of them there because "he couldn't get enough of them on TV."

This is a sentiment that many conservative Americans can agree with, as viewership for

when Watters is on tends to soar for Fox News.

However, we're now learning who Watters' number one fan is who has just played an enormous

part in destroying his life.

The popular 39-year-old host had just tweeted a picture of his White House dinner menu that

had been personally signed by Trump with a message to that read "To Jesse, You are

great!"

It was a thoughtful gesture that Watters was rightfully proud of, as anyone would be, which

is why he posted it on Twitter.

Shortly after, the truth about what he was really up to came out.

Now, his life will never be the same in a number of devastating ways by his own decision.

New York Daily Mail reports:

The network's prominent host Jesse Watters — who dined on Monday with President Trump

— is in the midst of divorce due to an affair with a 25-year-old associate producer.

Watters' wife, Noelle Watters, filed for divorce in October.

The couple has twin girls.

Sources said the 39-year-old host informed the network of his adulterous relationship

with Emma DiGiovine shortly after Noelle filed divorce papers.

DiGiovine was transferred to "The Ingraham Angle."

DiGiovine and Watters are still dating, sources said.

A woman at DiGiovine's home in Cranford, N.J., declined to comment."Within 24 hours

of Jesse Watters voluntarily reporting to the Chief of Human Resources in November 2017

that he was in a consensual relationship with a woman on his staff, management met with

both parties and a decision was made for the woman to be transferred to work on another

program on the network where she currently remains," the spokesperson said.

It's truly tragic when a marriage doesn't work out for a reason like this, especially

when there are children in the middle of it.

It also doesn't seem like Watters was trying to hide his affair, which could suggest that

perhaps there were some irreconcilable marital issues between he and his wife.

That's certainly no excuse for infidelity, but the left is already using the situation

to attack the conservative host, ignoring the prolific infidelity within their own party.

"Sources said rumors of the host's relationship with DiGiovine spread within the network late

last year as both posted social media photos of their outings together, including on a

Caribbean vacation," NYDailyNews explained.

Both Watters and DiGiovine are reportedly still in a relationship together even after

the announcement of his divorce.

It will be interesting to see if or how long they remain a couple after, or if the stress

of the public scenario will break them.

In the meantime, the mainstream media who never said a negative word about MSNBC's

co-hosts Joe Scarborough and Mika Brzezinski having a long affair that ended Joe's marriage

as the two remain together today, wants to rake Watters and Fox News networks as a whole

over the coals for this.

Infidelity is not acceptable, nor is treating one affair like a sweet love story and another

like a sleazy scandal, all based on political affiliations.

Bird Blues - How to play and Understand the Chords - Duration: 13:37.

- Hi, everybody, my name is Jens Larsen.

In this video, I'm going to show you

how you can play the chords of a Bird blues,

or a Parker blues,

and I'm also gonna talk about

how you understand and analyze those chord changes,

and compare it to a normal 12-bar blues,

because the Parker blues, or the Bird blues,

is really one of the most important progressions in bebop.

It's a really great example

of how they started to use reharmonization

to really develop the chord progressions

that they were playing on,

and it's also a really good example

of how they really loved progressions that moved forward

with a lot of cadences, and a lot of movement,

and it's kinda also pointing a little bit

toward what was to come, with some parallel moving harmony.

In this video,

I'm going to first give you a basic set of chord voicings,

so that you can play the progression

and hear what it sounds like.

Then I'm gonna talk about how you understand the chords,

how it's constructed,

how it compares to a normal 12-bar blues,

and finally, I'm gonna go over a set of drop 2 voicings

so that you can also just play through this progression

in a more normal comping setting.

The most famous song using the Bird changes

is probably Blues for Alice, that Parker wrote himself,

and that's really sort of

the first original version of these changes,

and then the other ones are using slight variations,

but are really based on that form.

Another famous example is Freight Train from Tommy Flanagan,

and also one

that a lot of people don't really realize is a blues

is Bluesette from Toots Thielemans,

which is also a variation of the Parker blues changes,

but I'm, of course, also curious

if you know another song that's using these changes,

because it's nice to have some examples of this,

and the more examples you have of people playing on this,

the more stuff you have to check out,

and the more inspiration you can get

when you're checking it out.

With the tabs and the chord diagrams,

I don't think it makes too much sense

to really go over the chords that I just played in detail.

You can check out the video on how to play jazz chords

if you wanna have that vocabulary in there,

and of course you can also go to my website

What you should be aware of, and what is really practical,

is to realize that there are a lot of II-V's

in this progression,

and if you follow the exercises from the other video,

you'll see that I tend

to really think of the II-V progressions as one thing,

and that is a lot more efficient,

because I think probably more than half of the bars

in this progression, in the Parker blues,

are all II-V progressions,

so if you can sort of just turn them into one chord,

or one thing, instead of thinking of two separate chords,

then that's a lot more efficient when you have to play them.

The easiest way to analyze the Bird blues

is probably to compare it

to a straight-ahead 12-bar jazz blues,

because that's a progression you're already familiar with,

and that's really also kind of where it's coming from,

and what it is a reharmonization of.

In the first four bars,

I think what immediately stands out

is that the first chord is a major 7 chord,

and there are a few things

that could be the reason for this.

If we look at the blues before bebop,

so really more, maybe swing, and maybe even earlier,

then actually the chords in the blues

were more triads or 6 chords,

and they were not really dominants,

and that kinda came later,

that we've turned everything into dominants,

like we're used to now.

So you'll also see Parker, in his themes,

actually use the major scale on a blues like this.

Cool Blues is an example of it,

and another thing you'll also see

is that he won't really emphasize the dominant

until he gets to bar four.

So really, when we need a dominant

to take us to the fourth degree,

so in this case really we need an F7

to take us on to the B-flat 7,

then the E-flat won't really get emphasized

until we're sort of closer to the B-flat,

so in bar three or four, and especially in bar four,

he very often, if you listen to solos,

he'll really pull out that note.

The other thing that stands out

is the fact that we have a lot more chords,

and they're all cadences that are moving forward,

so instead of going to the fourth degree in bar two,

and then back to the tonic in bar three,

we have all these progressions that are all II-V's,

and eventually they're a II-V to the B-flat 7,

so this is really back-cycling.

That means that we're just looking at

what we have in bar four is a cadence to B-flat.

That makes a lot of sense,

and then we just start adding cadences before that,

to just create movement to that cadence,

and finally, to the fourth degree,

so that really gives us a set of three bars

that are just all cadences moving forward

and pulling us to the fourth degree,

and this is also something that's quite typical for bebop,

because bebop is not so much

about playing interesting sounds on the chords,

or focused on what the sound of one chord is,

it's really about playing the movement,

and really about playing songs, and adding energy

by lines that are moving forward all the time.

In that way,

it's quite similar to how you might think about Bach.

In bar five, on the fourth degree,

I've written out two options for chords,

and that's just because the common variations

of this progression

sometimes will use a dominant on the fourth degree,

and sometimes will use a major 7.

The original Parker version clearly uses a dominant chord,

but Freight Train and Bluesette both use a major 7.

It is not that important, really,

it's just to point out that that is there,

and it is just the fourth degree.

There's little else to say about it,

and what comes next is just that we have first,

let's play the dominant,

so the fourth degree, and it becomes IV minor,

and in this case it's not a IV minor,

sort of a typical IV minor like a minor 6 chord,

it's turned into a II-V, so it's B-flat minor 7 to E-flat 7.

Now this is a fairly common thing to do as well.

I think Parker has a few other blues themes that do this.

Chi Chi is one of them.

Coltrane does it in Some Other Blues as well,

so it's normal to have this IV-IV minor thing happening

in bar five and six.

The other option is what we would know from Take the...

No, not Take the A Train: Straight, No Chaser,

where you have B-flat,

and then you get the sharp IV, so B diminished.

That's also a very common progression to have,

to take us back to the tonic,

but that's really what's happening here

is just IV to IV minor.

What follows next is probably easiest to understand

just as a row of chromatic II-V's,

and that's also because that's how we have to play it,

so it's just really going

from B-flat minor, E-flat 7

to A minor, D7,

A-flat minor to D-flat 7,

and then down to the II chord in the last cadence.

Of course, you could think of this, also,

as a reharmonization of a sharp IV diminished chord,

because that exists as well.

There are blues songs

that will have that type of progression

that could be reharmonized like this,

and of course the A-flat diminished

that you're then reharmonizing to A-flat and a D-flat,

is reharmonized like that in other songs as well.

I think Just Friends is a good example of it,

and in that case then you would have something like,

if I turn it back to a sort of more-traditional progression,

B-flat 7, B-flat minor 6, and then some sort of F

that would probably be like an F with A in the bass,

and then to the A-flat diminished, and then down to G minor.

That would be this type of progression

that's then turned into, instead of F with A in the bass,

we get A minor, D7,

and then the A-flat diminished

is turned into A-flat minor, D-flat 7,

down to G minor.

The final four bars of the form are not that interesting,

and also not really that different

from what you'll see in a straight-ahead 12-bar blues,

because it's just the II-V,

so the long cadence, and then a turnaround.

So there's not really anything happening here.

Sometimes you'll see that in a Parker blues,

the V chord is substituted with a tritone substitution,

so you get G minor, and then D-flat minor,

G-flat 7, to F,

and then it can be F7, F major 7,

maybe even a III-VI-II-V,

so it'd be A minor, D7, G minor, C7,

or just I-VI-II-V,

and of course these variations are all possible,

and you will find different versions of them

in the different songs.

That's how the chords work

if you relate them to a straight-ahead 12-bar blues,

which of course they are a reharmonization of,

so that makes a lot of sense.

Now that we have an idea about

how this whole thing is constructed,

maybe it's useful also

just to check out some more useful comping voicings,

so that you can play it in a band setting,

and that would be something like this.

All the voicings that I'm using in this example

are drop 2 voicings,

and if you wanna dig a little bit deeper into that,

then I have a playlist

with all my lessons on drop 2 voicings

that I'll link to in the description of this video.

So the first voicing I'm using is

this A minor 7 voicing

that I'm using for an F major 7

because that gives us an F major 7 with a 9,

and from here I move up to this E half-diminished.

For the A7,

I'm using the C-sharp diminished voicing, of course,

because that's an A7 with a flat 9.

Moving it up here, where that's still the same set of notes.

D minor 7,

G7 with a 9,

and then a C minor 7,

and then this F7 where I'm also adding a 13,

down to a B-flat 7 with a 13,

and then we get a long row of II-V's, so the first one is

B-flat minor 7 with a 9, E-flat 7,

then pretty straight-ahead A minor 7, D7,

A-flat minor 7 with a 9, G-flat 7,

and then I can easily move that to a G minor 7

like this, with a 9,

and here I'm moving up

because I have longer time on the G minor 7.

I'm sort of walking up to the C7, first using this voicing,

and then with another melody note, C7 altered,

which in this case is a C7 with a flat 9 and a flat 13,

and then sharp 9, and then down to

the A minor 7 on the F major 7,

an F-sharp diminished for the D7, and then

G minor 9,

C7 altered, and then back to this voicing for the F major 7.

Drop 2 voicings are really a huge part

of the sort of bebop sound

when it comes to playing chord voicings,

so that's definitely something you wanna dig into

if you wanna check out some more bebop-oriented material.

What you also wanna take away from this

is that you need to focus mostly on the melody

when you're comping,

and what I mean by that is that you need to focus

on the melody that you're playing with the chords,

so really the top note melody,

so if I'm playing the last four bars of this,

then that's, of course,

(plays turnaround progression)

and what you really have to get across there

is actually what the melody sounds like, so

(plays top-line melody of turnaround progression)

and that's a lot easier to work with,

because if you can make a logical melody,

that's something you can hear,

it's difficult to hear four moving voices at the same time,

but you can hear a top-note melody,

and having a strong melody is gonna make your comping

sound a lot stronger, and a lot more natural,

so that's also what you wanna focus on

when you're trying to come up with

your own version of these chords.

Now, of course I'm working on just the chords

and understanding the harmony in this video,

so I'm curious if you would also be interested in a video

on soloing on this form,

because it is, of course,

an important form to check out

if you wanna check out some bebop.

For the rest, I already asked about one thing,

and that was about the other songs

that are using this chord progression,

because I don't actually know that many of them,

and then a theory of mine,

and I'm curious what you think about that,

that's just my theory,

but in a way I see Solar as sort of being

a minor version of a Parker blues.

and it's time for my top five.

Today we'll be talking about my top five wine myths.

There's a perception that if a

rose is dark, it's bad, not true.

These wines are actually made from Mourvedre

which is a thick skinned grape that actually

imparts almost a maroon hue to the wine.

These wines are actually really highly sought after

and they're really food friendly.

There's a common misconception that all Riesling are sweet

and that's not the case at all.

The best known region for Rieslings is from Germany.

Actually, their original style was drier.

Check out the label from Germany.

If it says trocken on it, that means that it's dry.

If a wine comes from a bad vintage,

you shouldn't buy or drink it, totally false.

So, what is a vintage?

A vintage is a wine made from a specific year.

In many years that are unfavorable,

there are producers from, say, France and Italy

that will actually declassify their grapes.

This means that they take their grapes

that were meant for their top shelf wine

and they will blend that into the wines

that are made for their entry level.

So, you'll actually maybe get some

better wine in those particular years.

This myth is all about serving temperatures.

You have to serve a white wine or a sparkling ice cold

and you have to serve a red wine at room temperature,

and if you serve a wine too cold, it mutes the aromas

and flavors, but if you serve a wine too warm,

then it brings out more undesirable

effects and volatile aromas in the wine.

If you're not afraid to experiment, then try this.

55 degrees is a median temperature

and go warmer or cooler from that.

This myth has to do with decanting.

People believe that all red wines need to be decanted

or that there is a certain cache to a decanter

that if they ask for their wine to be decanted

that it means that it's a little bit fancier.

This is not true.

There are two reasons why you should decant a wine.

Number one is for aeration.

You open up the wine at a faster process

During a Thursday interview with Fox News, Trump said Cohen represented him in what Trump

How are LLCs Taxed? - Duration: 16:54.

What's up guys Taylor Mathis here, the KEYTLaw girl, marketing director, and legal assistant

at KEYTLaw, today I'm going to explain to you all 4 ways LLCs can be taxed.

So, one of the advantages to forming an LLC is that it allows maximum flexibility for

choosing a method of federal taxation.

So, for example, if an individual formed a limited partnership, the limited partnership

must be taxed as a partnership.

Whereas, an individual who forms a corporation must be taxed as either a C Corporation or

S Corporation.

But the person who forms an LLC, can choose their federal tax option.

You can elect to be taxed as a partnership, a C Corporation, S Corporation, or a sole

proprietorship.

So Here are 4 ways your LLC can be taxed and some of the pros and cons to each.

The First way: Sole Proprietorship Method A sole proprietorship is the default classification

for a single member LLC.

Only a single member LLC may be taxed as a sole proprietorship.

A sole proprietorship doesn't have to file any separate tax returns and is a disregarded

entity for federal income tax purposes.

The member of the LLC reports all the economic activity of the LLC on their personal income

tax return on Schedule C. The taxpayer then pays any tax associated with the LLC on their

personal income tax return.

A major advantage to having an LLC taxed as a sole proprietorship is the ease of reporting

the income or loss of the LLC.

And with sole proprietorship you don't need to file an additional tax return unlike the

rest.

This is a big advantage because the LLC doesn't have to prepare a balance sheet and other

schedules which may be required on the tax returns for the other methods.

This allows many small business owners to focus more time and money on their business,

rather, than having to pay an accountant or prepare the additional tax forms themselves.

But there are two major cons to sole proprietorship.

The first disadvantage is that taxpayer's who file Schedule C tend to get audited at

a higher rate than taxpayers who don't.

This means members must be especially diligent in maintaining documentation supporting any

deductions they claim associated with the LLC, so keeping receipts and other supporting

items for at least 3 years after the return has been filed.

If the member fails to do this, the IRS may disallow many deductions during an audit and

the taxpayer may be faced with a substantial tax bill.

The second major disadvantage associated with sole proprietorship taxation is that the member

must pay self-employment tax.

An employee pays 6.2% for social security on the first $106,800 of wages and 1.45% for

Medicare on all wages.

Self-employment tax is similar to payroll taxes paid by employees.

The key difference is that the member of the LLC must also pay the employer's portion

of social security and Medicare.

Generally, self-employment tax is calculated by taking the sole proprietor's net earnings

from self-employment which includes any allowable business deductions.

The LLC member pays 12.4% for social security on the first $106,800 of net self-employment

earnings and 2.9% for Medicare on all net self-employment earnings.

With self-employment tax, the member must pay both the employee and employers share

of the payroll taxes on self-employment income.

So, they are paying double the amount of payroll taxes they would have to pay if they were

an employee.

But, the member does receive a tax deduction for one half of the self-employment taxes

paid for the tax year.

So, the next way is the C-Corporation Method So, the default classification for a LLC will

never be a C-Corporation.

Therefore, the LLC must file Form 8832 to elect to be taxed as a C-Corporation.

This form can be filed any time after the LLC has been formed, but the time the LLC

will begin to be taxed as a C-Corporation can't be more than 75 days before the date

of filing with the IRS.

A C-Corporation is considered a separate entity for federal tax apart from its shareholders.

The C-Corporation must file its own tax return and pay whatever tax is owed.

The C-Corporation files a Form 1120.

This is becoming increasingly less relevant as an effective method of paying reduced taxes,

because individual income tax rates have dropped.

The decrease in individual income tax rates has brought the individual rates roughly equal

to the corporate tax rates.

Because the rates are now roughly equal which prevents shareholders from using the C Corporation

to shelter income, more people use partnerships or S-Corporations to take advantage of the

tax saving opportunities that those two forms offer over the C-Corporation.

The major problem with the C-Corporation is the concept of "double taxation."

The government taxes corporate earnings as the corporation earns the income and taxes

the earnings again when the corporation distributes the money to shareholders.

A shareholder of a C-Corporation might try to avoid paying taxes on dividends by not

making any dividend distributions and keeping all earnings within the C-Corporation.

To prevent people from utilizing this strategy, Congress enacted the accumulated earnings

tax ("AET").

The AET gives the IRS the ability to assess taxes against a C-Corporation for failing

to pay dividends to their shareholders.

If the IRS believes a corporation has accumulated excess earnings, it can assess this penalty

tax against the corporation.

The tax rate of the penalty coincides with the tax rate shareholders pay on dividends.

Another disadvantage of C-Corporation taxation, is that capital gains aren't subject to

a preferential rate.

Most individuals receive the benefit of paying a lower rate on capital gain income.

Capital gain income is typically the income associated with selling stocks, bonds, or

from other capital assets.

With a C-Corporation, capital gain income will be taxed at whatever the corporate tax

rate is.

Compared to an S Corporation or Partnership whose capital gain income would flow through

to the individual where it would be subject to the special rate.

So capital losses would be kept inside the C-Corporation and could only be utilized by

the corporation; whereas, with the S Corporation or Partnership, the capital losses could be

used to offset any capital gains the individual taxpayer might have.

Third way S Corporation Method So, S-Corporations are a pass-through entity

taxed under subchapter S of the Internal Revenue Code.

A pass-through entity does not pay tax; rather, the S-Corporation passes earnings and losses

through to the shareholders.

The shareholders then report the earnings or losses of the S-Corporation on their personal

income tax return.

There are a few unusual situations under which a S-Corporation might pay tax.

One situation occurs when converting a C-Corporation into an S-Corporation.

If you have a LLC taxed as a C-Corporation and want to change the method of taxation

to a S-Corporation, then any assets of the C-Corporation which have appreciated in value

could be subject to the built-in gains tax.

So, a LLC must elect to be taxed as an S-Corporation.

This is done by filing a Form 2553.

And The filing of the form is time sensitive.

See the instructions to Form 2553 linked in the video description.

In order to be eligible for S-Corp taxation, the members of the LLC must meet certain eligibility

requirements.

The limited liability company must be a domestic LLC meaning it is formed within the United

States.

The LLC cannot have any members who are partnerships, corporations, or non-resident aliens.

Also, certain types of trusts may not be members of the LLC.

The LLC can't have more than 100 members.

and certain types of businesses such as financial institutions, insurance companies, and domestic

international sales corporations are prohibited from being taxed as a S-Corporations.

Keep in mind the that the prohibitions against different types of LLC members are very important.

If the LLC admits a new member, who is of the prohibited type or another member disposes

of their interest to a prohibited type of member, the S-election will be terminated

leading to major tax consequences.

The S Corporation does offers many tax benefits.

S-Corporations don't suffer the sting of double taxation associated with C-Corporations,

because the S-Corporation passes through all the economic activity to the shareholders.

Shareholders, generally, don't have to pay tax on distributions they receive from the

S-Corporation unless the distribution exceeds their stock basis in the S-Corporation.

Owners of entities taxed as S-Corporations calculate their stock or membership interest

basis using this formula.

The owner adds any contributions of either cash or property which the owner made to the

S-Corporation and deducts any distributions that the owner receives from the entity.

at the end of the tax year if the entity made a net profit, the owner would add the owner's

share of the entity's profits to the owner's stock or membership interest basis.

But if at the end of the year the entity has a net loss, the owner will decrease the owner's

stock membership interest basis by the amount of the net loss.

So, its Contributions of Money/Property + Corporate Earnings – Distributions of Money/Property

– Corporate Losses equals Stock or Membership Interest Basis

The ability of an owner of an entity taxed as an S-Corporation to deduct losses on the

owner's personal income tax return depends upon the owner's stock / membership interest

basis.

An owner may only deduct a loss to the extent of the owner's stock / membership interest

basis.

For instance, assume the entity taxed as an S-Corporation has a $100 net loss for the

year, and the owner has stock / membership interest basis of $50 at year end.

The owner can deduct $50 of the loss on the owner's personal income tax return.

The remaining loss is suspended and may be deducted when the owner has sufficient basis

in their stock / membership interest to take the loss.

Entities taxed as S-Corporations can minimize the sting of the self-employment tax.

An owner of an entity taxed as an S-Corporation can be treated as an employee.

The entity pays the owner a reasonable salary for the services which the owner performs

on for the entity.

The entity pays the payroll taxes with respect to the owner's wages.

The entity may deduct the owner's wages and corresponding payroll taxes associated

with those wages in computing the entity's net income.

The owner reports the wages as ordinary income on the owner's personal tax return.

The owner may also report the owner's share of the entity's net profits on the owner's

personal income tax return.

However, the owner does not have to pay any self-employment taxes on the entity's profits.

Under the sole proprietorship method of federal income taxation, all the net profits are subject

to the self-employment tax.

One key difference between the S-Corporation and partnership methods of taxation concerns

the allocation of profits and losses.

With a partnership, the partners can choose to allocate income and losses any way they

choose if those allocations comport with "substantial economic effect" requirements of Internal

Revenue Code Section 704(b).

The entity taxed as an S-Corporation must allocate all profits and losses pro-rata based

on the owner's ownership interest in the entity.

If there were two shareholders of an entity taxed as an S-Corporation with owner A owning

10% and owner B owning 90%, owner B must be allocated 90% of any profit and loss, and

owner A must be allocated the remaining 10%.

Further, distributions made by the entity to the owners must be made pro-rata.

If the entity fails to follow these rules regarding profit and loss allocations and

distributions, then the IRS can terminate the entity's Selection.

Way 4 Partnership Method of Federal Income Taxation

The other way an LLC can be taxed is as a partnership.

The IRS default classification for a multi-member LLC is partnership taxation.

A LLC with only husband and wife as members may elect to have the LLC treated as a partnership

all they have to do is file the Form 8832 . The partnership must file a tax return on

Form 1065.

The return is only for informational purposes.

The partnership is like the S-Corporation method of income taxation in that the entity

is considered a pass-through entity.

The owners of an entity taxed as a partnership must report all the economic activity of the

entity on the owner's personal income tax returns.

Owners have a tax basis in their partnership / membership interest, but partnership basis

rules are much more complex than the basis rules that apply to entities taxed as S-Corporations

and are beyond the scope of this article.

Entities taxed as partnerships, unlike entities taxed as S-Corporations, can specially allocate

income and losses to the owners.

However, the Internal Revenue Code requires that allocations of income and losses must

have substantial economic effect.

The IRS briefly summarizes substantial economic effect as:

If the IRS does not view the entity's allocations of profits and losses as having substantial

economic effect, then the IRS will reallocate the items based on the owner's percentage

interest in the entity.

Thus, an owner of an entity taxed as a partnership cannot receive wages for services performed

on behalf of the entity.

The amount of money the owner would have received in wages is treated as a guaranteed payment.

The guaranteed payment will be subject to self-employment taxes on the owner's individual

tax return.

The self-employment tax issue has created controversy within the context of LLCs taxed

as partnerships.

Before the advent of the LLC, the general rule was that limited partners of limited

partnerships didn't have to pay self-employment tax on their distributive share of partnership

income, but general partners were required to pay self-employment tax on their distributive

share of partnership income.

Because the legal structure of the LLC differs from that of partnership, the rule is not

easy to apply to LLCs.

An LLC doesn't have the equivalent of a general partner.

Members of a LLC all have limited liability, so it appears it would be easy to apply the

limited partner rule to the LLC.

The IRS has taken a different position examining the facts and circumstances surrounding each

situation to determine whether LLC members must pay self-employment tax.

So, for example if the LLC is manager-managed and the member doesn't serve in the role

as a manager, then the member probably wouldn't have to pay self-employment tax.

So, the bottom line is that you should consult with your tax adviser to determine the correct

reporting requirements for your situation.

Entities taxed as a partnership are not subject to the double taxation problem that plaques

entities taxed as C-Corporations.

But one of the drawbacks of the partnership method of taxation is that the reporting requirements

can be much more complex than that of the other entities.

The instructions to Form 1065 alone estimate that one should spend 35 hours on keeping

and maintaining partnership records, 24 hours on learning about the law and form, 35 hours

preparing the form, and 3 hours copying and assembling the form to send to the IRS.

That's 97 hours spent on completing your partnership informational tax return.

The LLC offers its owners the most flexibility and choice (the four methods described above)

as to the type of federal income taxation that will be best for the owners' situation.

The good news is that when you form an LLC, you have 75 days to consult with your tax

advisor, determine which of the four tax methods is best for your company and make an election

to change the default method of income taxation by filing either an IRS Form 8832 to elect

to be taxed as a C -Corporation or an IRS Form 2553 to be taxed as an S-Corporation.

49ers Draft Hype, Ready for Tonight! - Duration: 3:40.

Ayo! It's Bryan here. Well, tonight is the big night for the 49ers. The draft is

here. Lots of intrigue for the 1st round. I know it's only the 1st round,

but still. There's a lot of options that the 49ers can do. They can either trade

up if they wanted to, which I probably do not see that happening.

They can trade down, which is a really good possibility if they wanted to trade

down or they could just keep the 9th pick and see what other teams ahead of them

like the Chicago Bears and the Indianapolis Colts and the Denver

Broncos what they do with their picks. There's just so much intrigue. I don't

know what they're going to do. All the mock drafts are just completely

different. There's some people like Mike Mayock saying that we're going to get

Denzel Ward from Ohio State. There's other people saying that we're going to get

Tremaine Edmunds. There's some big news I forgot to mention that Reuben Foster, his

girlfriend. [Reaction], it was kind of a murky situation and now that she's saying that

Rueben didn't do any of that stuff. So, I guess that's good news for the 49ers, but

still. I think a linebacker is a need because even with Reuben Foster, the outside

linebacking position still need some help. I don't know if I'm a fan of Brock

Coyle, which he's kind of okay, but I need a super stud on the outside linebacker

position. I think Edmunds can fit that need for the 49ers. So yeah. Just so much

to do. Hopefully tonight, nothing's too crazy. Mock drafts, everyone is not on the

consensus. Not like last year where everyone had Solomon Thomas as the

No. 2 overall pick, but then traded down to still get him with the No.

3 overall pick. This year, there's just no consensus on who's who and other teams

ahead of them, we don't even know what they're going to do. I think the majority of

the team from the top five are looking for a quarterback like the Cleveland

Browns, maybe the New York Giants somewhat, but they're probably take Saquon

Barkley from all accounts. The Denver Broncos kind of need a

quarterback. The Indianapolis Colts, I'm not sure if they need a quarterback because

Andrew Luck is not playing for the time being. He's been injured for the past

year now. He didn't play a single snap last year. So, there's a lot of intrigue

there as well. I'm just so excited and I'm pretty sure all you guys are excited in

San Francisco that the draft is happening, the 1st round and then we have the

2nd, 3rd round coming up on Friday. Then rounds 4-7

coming up on Saturday. Those are important as well because if you can

find some gems later on in the draft, that's going to be really good and John

Lynch, I think he can do a good job because last year he did a fantastic

job finding some good gems in the later rounds like Adrian Colbert,

Trent Taylor, all those great pics that he did last year. I think this year he

could replicate that as well. So, this is the start of a Super Bowl run

hopefully. I don't want to say Super Bowl victory because we got to make the playoffs

first when we haven't made the playoffs yet. So hopefully, the 49ers can have all

the momentum, all the draft picks and everything they can do correctly to make

a good run this year and it starts tonight with the draft. Please let me

know anything for the 49ers who they're going to pick. If I had to pick someone, I'd

still probably pick Tremaine Edmunds. I think that's the guy that everyone wants

and I'm pretty sure John Lynch wants him as well, even with Reuben Foster probably

getting the okay now after this whole incident and he's probably going to get

exonerated most likely. So, I'm saying that Tremaine Edmunds is the guy and all

reports from yesterday saying that Tremaine Edmunds is the guy for the 49ers.

John Lynch is a big fan of his and they might pick him if he's there with the

9th pick overall. So, there you go. There's some cool stuff. I have some link

in the descriptions below with all the mock drafts and the 49ers picking

picking Tremaine Edmunds some reports. Reuben Foster situation, I'll have that in
